The Internal Revenue Service has been looking at a questionable tax shelter sold to big corporations that may have improperly allowed large tax deductions through murky transactions with the company's own private insurers.

The shelter, called Insureco, was sold by the accounting firm KPMG in the late 1990's, according to papers filed by the Justice Department in an unusual dispute involving Yum Brands, which owns the Pizza Hut, Taco Bell and KFC chains. It is unclear how widely the shelter was sold. Two former KPMG executives, who cited the continuing investigation of the firm in insisting that they not be identified, said that Insureco was actively marketed and promoted in the late 1990's and early 2000. But another person close to the firm said that it was sold to fewer "than a dozen" large companies beginning in the late 1990's and at least through 2000. A spokesman for KPMG declined to comment on Insureco.
